The Corporate and Securities Counsel will provide legal advice and support Canoo on (i) securities filings, and corporate governance matters; (ii) commercial contract matters supporting Finance, Purchasing, Strategy, and Information Services teams; and (iii) other legal matters according to the company's needs and the attorney’s skills and capabilities. We are seeking a candidate with experience in public company matters and the ideal candidate for this role will be intellectually curious, with a desire to learn and support in a wide variety of areas.

While this role reports into our Justin, Texas corporate office, we are open to this individual working remotely from Arkansas or Oklahoma.


This attorney will support the company on public company matters and required SEC filings including:

  • Preparation and filing of Forms 10-K, 10-Q, 8-K and proxy statement
  • Section 16 reporting
  • Regulation FD compliance
  • Draft board and committee materials, including minutes, resolutions, consents and other board related items; and
  • Investor relations and corporate governance matters

Other duties include:

  • Corporate secretarial functions for the Company’s other subsidiaries
  • Responsibility for Company policies related to insider trading, code of conduct, whistleblower, and FCPA compliance
  • Negotiate, draft, and provide legal advice on a wide array of commercial agreements and matters, including technology licenses, supplier agreements, and professional services agreements


  • J.D. degree with strong academic credentials from an accredited law school
  • Membership in good standing of the Texas, Oklahoma, or Arkansas State Bar (or Registered in-house counsel)
  • 5+ years of legal experience in house in a public company or with big law in corporate governance-based work
  • Strong knowledge of SEC and NASDAQ rules and regulations
  • Outstanding writing skills and attention to detail
  • Understanding of business issues and challenges
  • Flexibility to adjust priorities and manage time wisely in a fast-paced environment
  • Intellectual curiosity and a willingness and desire to take on new challenges – identify a need and find a solution

Preferred Experience  

  • 7+ years of legal experience in house in a public company or with big law in corporate governance-based work.
  • Experience with the automotive or technology industry
